These Terms form a binding agreement between you and DocChase Pty Ltd (ACN 000 000 000) ("DocChase"). By creating an account or using the service you agree to these Terms.
1. The service
DocChase is a software-as-a-service platform that helps Australian accounting practitioners request, follow up on, and receive documents from their clients.
2. Eligibility & account
- You must be at least 18 and authorised to bind your business.
- You are responsible for everything done under your account, including activity by your team.
- Keep your credentials secret. Notify us immediately of any unauthorised access.
3. Your data and your clients' data
You retain ownership of all data you upload or that your clients upload to your workspace ("Customer Data"). You grant DocChase a worldwide, non-exclusive licence to host, copy, transmit, and display Customer Data solely to provide the service.
You warrant that you have authority to upload Customer Data and to receive your clients' documents through DocChase, and that doing so complies with your professional and legal obligations (including the Tax Agent Services Act 2009 and the Privacy Act 1988).
4. Fees
- Prices are in Australian dollars and exclusive of GST unless stated.
- Subscriptions are billed monthly or annually in advance and renew automatically.
- You authorise us (via our payment processor) to charge your nominated method.
- Failure to pay may result in suspension after 7 days' notice.
5. Cancellation & refunds
Cancel any time from the billing page. See the Refund Policy for refund rules.
6. Acceptable use
You must comply with the Acceptable Use Policy. Breach may result in suspension or termination.
7. Availability
We aim for 99.9% monthly uptime excluding scheduled maintenance. The service is provided "as is"; we do not guarantee uninterrupted operation.
8. Intellectual property
DocChase owns all rights in the platform, software, templates, and brand. You may not copy, reverse-engineer, or resell the service.
9. Confidentiality
Each party will keep the other's confidential information confidential and use it only to perform under these Terms.
10. Liability & Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.
Subject to the above, to the maximum extent permitted by law:
- Our total aggregate liability is capped at the fees you paid in the 12 months preceding the claim.
- Neither party is liable for indirect, incidental, or consequential loss (including loss of profit, revenue, or data).
- Where a non-excludable guarantee is breached, our liability is limited (at our option) to resupplying the service or paying the cost of resupply.
11. Indemnity
You indemnify DocChase against claims arising from your breach of these Terms or unlawful use of the service.
12. Termination
Either party may terminate for material breach not cured within 14 days of notice. On termination you may export Customer Data for 30 days; after that we may delete it.
13. Governing law
These Terms are governed by the laws of Victoria, Australia. Each party submits to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.
14. Changes
We may update these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
